Terms and Conditions for Kelham Studio Ltd.

Welcome to Kelham Studio (Kelham Studio LTD). Before using our services, we kindly ask you to
read and understand the following Terms and Conditions carefully. By using our studio facilities
and services, you acknowledge and agree to these terms. If you do not agree to these terms,
please refrain from using our studio.


Kelham Studio will insure the Studio and Equipment against all normal insurable risks but not
further or otherwise. The Customer must effect its own insurance cover against consequential
loss of profit and other Risks and must effect its own cover against loss, damage or theft of any of
its own equipment brought onto the studio. Under no circumstances will Kelham Studio entertain
any claims arising out of any failure of the Customer to effect its own insurance cover. The
Customer must ensure that their Public Liability insurance is operative for all persons in the studio
during the hours of use to cover any accident, injury or death.


Booking and Reservations:


1.1. All bookings are subject to availability and are made on a first-come, first-served basis.
1.2. To reserve a studio session, clients must provide accurate contact information and make the
required deposit/payment as specified by Kelham Studio Ltd.
1.3. The Studio may be provisionally booked by telephone ('pencilled'), however, this 'pencil' is
only applicable up to 7 days prior to the date of the shoot. At that time the 'pencil' will be
automatically released unless confirmed and payment is made against a pro forma invoice. All
bookings must be paid for in advance unless otherwise agreed in writing.
1.4. Bookings can be rescheduled or cancelled up to [7] days prior to the scheduled session,
subject to Kelham Studio Ltd's rescheduling and cancellation policy.
1.5. If the Client wishes to postpone or cancel a confirmed booking this must be done at least 7
days before the hire period starts in order to get a full refund or the following cancellation fees will
apply. A working day shall be defined as any day except bank and public holidays in England.
• Seven or more working days prior to the shoot – 0% cancellation fee
• Between six and five working days prior to the shoot – 25% cancellation fee
• Between four and three working days prior to the shoot – 50% cancellation fee
• One to two working days prior to the shoot – 90% cancellation fee
• On the day of the shoot – 100% cancellation fee (no refund)

Studio Use and Conduct:


2.1. Clients are responsible for any damage caused to the studio's property, equipment, or
facilities during their use and will be liable for repair or replacement costs.
2.2. The use of hazardous materials, open flames, water, compressed air, pyrotechnics, or any
activity that poses a risk to the studio's property or safety is prohibited. Written permission from
Kelham Studio Ltd must be attained prior to the booking commencing.

2.3. The studio premises are a smoke-free zone. Smoking, vaping, or any other tobacco-related
activities are not allowed and may result in the termination of the session without a refund.
2.4. Clients are expected to treat studio staff and other users with respect and courtesy. Any
abusive, disruptive, or inappropriate behaviour will result in immediate termination of the session
without a refund.
2.5. The use of illegal substances are strictly prohibited and the client session will terminate
immediately without a refund.
2.6. Permission must be obtained prior to using the scaffolding rig. Kelham Studio requires a
signatory for the health and safety document and the crew must be briefed before it’s use.
2.7. The Studio is available for the exclusive use of the Client named in the booking and the Client
is not permitted to sub-contract, sub-let or otherwise permit any third party to utilise the Studio
without the prior written consent of Kelham Studio.
2.8. Any materials used in connection with sets constructed by the Customer as well as any
rubbish therefrom, shall be removed from the Studio at the end of the hire period at the expense
of the Customer otherwise additional charges may apply.
2.9. No alterations, decorations or additions to the Studio are permitted without the written
consent of Kelham Studio. At the end of the hire period the Studio must be surrendered in the
same condition that it was in at the start of the hire period. Any costs incurred by Kelham Studio
arising out of any breach of this condition shall be paid by the Client.
2.10. Bookings may only be extended with the prior consent of Kelham Studio, and published
overtime rates will be applicable to hires that run over the booked time. Customers must ensure
that set up and de-rig time takes place within the hours booked.
2.11. Overtime should be booked in advance of the day of the shoot. This is known as planned
overtime and is charged at £50 plus VAT per hour. At the end of the booked studio time, 1hr will
be given to all hirers at the standard overtime rate of £50 plus VAT per hour. After this time, the
overtime rate will raise to the unplanned rate of £75 plus VAT per hour.
2.12. The Studio is available for daily use between 0900hrs and 1800hrs. Use outside these hours
shall be charged at the published overtime rates unless previously agreed in writing by Kelham
Studio. Please note that the booked time is the access time. If the hirer wishes to gain access to
the studio earlier, then the studio must be booked earlier as well. Likewise, it is the time the
hirer's crew leave the studio (not wrap time) that is applicable when calculating any overtime
charges.
2.13. In the event of any paint or corrosive liquids brought into the studio, it is the responsibility of
the hirer to protect the floor and brick walls with coverings at all times. Any damage or cleaning
resulting from their use, will be the responsibility of the hirer and a reasonable cleaning or repair
charge levied in the event of damage.
2.14. The Studio is NOT a sound stage. Kelham Studio has a good relationship with it’s
neighbours and special considerations can be taken if quiet is required. This must be organised
as early as possible.
2.15. PAT testing is a preference of Kelham Studio. Any equipment that shows signs of damage
must not be used on site. The law requires that employers, including self-employed, ensure that
all electrical equipment that they provide in their business is safe and properly maintained. This
means that PAT testing is a critical part of your company’s health and safety and should be
considered part of a solution to your safety concerns. The law states that portable appliance
testing is done by a “competent person”. The definition of a competent person as per page 13 of
the IEE Code of Practice 3rd edition states that the person must:

• Have adequate knowledge of electricity
• Have adequate experience of electrical work
• Have an adequate understanding of the system to be worked on and practical experience of
that class of system
• Have an understanding of the hazards that can arise during the work and precautions that
need to be taken
• Have the ability to recognise at all times whether it is safe for work to continue.
2.16. Employers' Liability Insurance of £5 million or more and Public Liability of £1 million or more is
mandatory and must be sent to Kelham Studio before the session commences. Failure to do so
by the start of the session will result in the session being terminated with no refund.

• Payment and Fees:


3.1. Clients agree to pay the specified rental fees, additional charges, and applicable taxes for the
studio usage as outlined in Kelham Studio’s pricing and packages.
3.2. Payment is due at the time of booking or as specified in the invoice provided by Kelham
Studio Ltd.
3.3. Failure to make timely payments may result in the cancellation of the booking without prior
notice.
3.4. Enforcement will be pursued if an outstanding balance is if not paid within 7 working days
after the end of the booking.
• Cancellation and Rescheduling:
4.1. Clients may request a reschedule or cancellation of the studio session by notifying Kelham
Studio within the allotted time frame specified in the booking confirmation.
4.2. Rescheduling or cancellations made outside the specified time frame may incur additional
charges or forfeiture of the deposit, at Kelham Studio’s discretion.
4.3. Kelham Studio reserves the right to cancel or reschedule a booking due to unforeseen
circumstances, such as equipment failure or emergencies. In such cases, clients will be offered an
alternative date or a full refund of monies paid.


• Intellectual Property and Privacy:


5.1. Clients retain all intellectual property rights to their photos and videos produced during the
studio session.
5.2. Kelham Studio may request permission to use selected images or videos for promotional
purposes. Clients have the right to grant or deny such permission.
5.3. Kelham Studio is committed to protecting client privacy. Personal information provided during
the booking process will only be used in accordance with Kelham Studio Ltd's Privacy Policy.

• Liability and Indemnification:
6.1. Clients agree to use the studio facilities at their own risk. Kelham Studio Ltd will not be held
liable for any injury, loss, damage, or theft of personal property that occurs on the studio
premises.
6.2. Clients agree to indemnify and hold Kelham Studio Ltd and its employees harmless against
any claims, damages, or liabilities arising from the use of the studio.
6.3. Kelham Studio shall not be liable to the client for any loss damage expense liability or for any
consequential loss (including loss of profit) whatsoever or howsoever arising out of or in
connection with any of the following:
a. any damage to or loss of property by the client or the client’s servants or agents or any third
party.
b. any breakdown stoppage or failure of the facilities and Equipment provided in the Studio or any
other Equipment supplied to the client by Kelham Studio.
c. any death or injury occasioned to any client or servant or agent of any client occasioned by the
use of the Studio or any Equipment unless such death or injury is directly attributable to the
negligence of Kelham Studio or the servants or agents of Kelham Studio.
d. for any fines and/or legal costs incurred by Kelham Studio or the Customer for any activity
connected with the hire of the Studio or Equipment.
e. any failure on the part of Kelham Studio to comply with its obligations to the Customer due to
any circumstances beyond the control of Kelham Studio.

• Governing Law and Jurisdiction:


7.1. These Terms and Conditions shall be governed by and construed in accordance with the laws
of the United Kingdom, without regard to its conflict of laws principles.
7.2. Any dispute arising from or related to these Terms and Conditions shall be resolved
exclusively in the courts of the United Kingdom.

• Modifications to Terms and Conditions:

8.1. Kelham Studio Ltd reserves the right to modify or update these Terms and Conditions at any
time. Clients will be notified of any significant changes, and continued use of the studio services
will be considered acceptance of the updated terms.

Video Studio Health and Safety Waiver

I, The Client, hereby acknowledge that I have been informed and fully understand the potential
risks associated with working on ladders and attaching portable fixtures to a scaffolding rig within
Kelham Studio. I voluntarily agree to comply with the following health and safety guidelines to
ensure a safe working environment:


1. Equipment and Training:
- I certify that I have received adequate training on the proper usage of ladders, including
climbing, descending, and using ladder accessories if applicable.
- I acknowledge that I am solely responsible for any injury or damage resulting from my misuse
or negligence in using the ladder.
2. Inspection and Maintenance:
- I will inspect the ladder and scaffolding rig for any visible damage or defects before use.
- If any damage or defects are discovered, I will report it to the studio manager immediately.
3. Proper Use:
- I will ensure that the ladder is placed on a stable and level surface.
- I will maintain three points of contact (two feet and one hand or two hands and one foot) while
ascending or descending the ladder.
- I will not overreach while working on the ladder.
4. Reporting Incidents:
- In case of any accidents, near-misses, or safety concerns, I will immediately report them to the
studio manager.
5. Compliance:

- I understand that failure to comply with these safety measures may result in disciplinary action.


I acknowledge that working on ladders and using a scaffolding rig can be dangerous, and I
take full responsibility for my actions. I release Kelham Studio, its employees, and
contractors from any liability for personal injury or property damage that may occur during
the course of my work at Kelham Studio.


I have read and understood the content of this waiver, and I willingly agree to adhere to the safety
guidelines outlined herein.
